2201AFE Trimester 2 2023 Corporate governance report

Word length: 1500 (+-10%)

You will be allocated for your corporate governance analysis. You will be using the same allocated company for both the tasks (assignment 1 and 2). First task (assignment 1) is to analyse corporate governance of the allocated company. Your report must address the following issues using data based on the most recent financial reports (most recent year end) and any other information (other information should be no more than one month prior to your submission date) available on the company. 

Guidance for CG report

This is a guide for writing your corporate governance report, you can use this as a structure or feel free to be creative with your report.

Note: Make sure your report relates back to corporate governance

Tips: Cover page, contents page, tables, figures, and a reference list are essential to a successful research report. If chosen to include tables or figures it must be cited if outsourced and included in your discussion.

Cover Page

(Name of allocated Company, Student name, Student ID, Workshop Day, and time)

Brief description of the company analysed

(You will need to provide a brief description of allocated company)

The CEO (5 marks)

(You can answer each question in separate sections or in a summary) (Also refer to note and tips for a successful research business report)

In this section you will need to answer:

Who is the CEO of the company?           How much did the CEO make last year?           What form did the compensation take (salary bonus, options)?           How much equity in the company does the CEO own?           

Note: Relate the above to corporate governance of the company. Though there are four separate questions but you can answer this as a continuing discussion highlighting corporate governance issues of the information contained in your answer.

The Board of Directors (5 marks)

(You can answer each question in separate sections or in a summary) (Also refer to note and tips for a successful research business report)

In this section you will need to answer:

Who are on the board of directors of the company?           How long have they served as directors?           What is their remuneration?           How many of the directors have other connections to the firm (as suppliers, clients, customers, etc.)? Are they independent?   How many of the directors are CEOs of other companies?               Do any of the directors have large stockholdings?               

Note: Relate the above to corporate governance of the company. Though there are six separate questions but you can answer this as a continuing discussion highlighting corporate governance issues of the information contained in your answer.

Financial Market Considerations (5 marks)

(You can answer each question in separate sections or in a summary) (Also refer to note and tips for a successful research business report)

In this section you will need to answer:

How widely held and traded is the stock?   Do many analysts follow the firm?   How much training volume is there in this stock?   

Note: Relate the above to corporate governance of the company. Though there are three separate questions but you can answer this as a continuing discussion highlighting corporate governance issues of the information contained in your answer.

Societal Constraints (5 marks)

(You can answer each question in separate sections or in a summary) (Also refer to note and tips for a successful research business report)

In this section you will need to answer:

How the firm addresses the issue of Corporate Social Responsibility?   Does the firm have a particularly good or bad reputation as a corporate citizen?   If it does, how has it earned this reputation   

Note: Relate the above to corporate governance of the company. Though there are three separate questions but you can answer this as a continuing discussion highlighting corporate governance issues of the information contained in your answer.

Generally speaking, a research report is a document which answers your research question using a specific research method for analysis of data, provides your analysis, results, conclusion and recommendations. In this case you may or may not provide any recommendations. As such you may have an introduction, review of literature, method, data, results and conclusion. However, a specific format is not required for your report. You will be marked based on the accuracy of your answer to specific questions that have been provided in your task sheet.

Declaring executive remuneration is mandatory for all companies. It is unlikely that your company does not provide executive remuneration because this is required by law.

Other factors you may consider.

1. You can be +-10% of the word limit

2. CEO is the highest-ranking executive of the firm. She/he/they may not be designated as the chief executive officer (CEO).

3. Remuneration for CEO is not merely salary. It is other remuneration, e.g. stock options, bonuses etc.

4. A commonly used measure for widely held shares analysts use – company’s shares outstanding vs number of share holders

5. Analyst following is something that is bit hard to find for each company. However, it will be available from yahoo finance, DataStream (now referred to as Eikon) etc in terms of analysts that are providing analysis on the company.

6. Trading volume is available from Yahoo finance

7. Most data is easily accessible from company’s annual report, yahoo finance and ASX.
